Simply Complex Solutions provides enterprise AI automation bundles and related services, including but not limited to:

  • Sales Excellence automation bundle
  • Support Automation bundle
  • Hiring System bundle
  • Setup and onboarding services
  • Monitoring and dashboard access

3. User Accounts

To use certain features of our services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You agree NOT to:

  • Use our services for any unlawful purpose
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to any systems
  • Transmit viruses, malware, or other harmful code
  • Reverse engineer or decompile any part of our services
  • Resell, lease, or sublicense our services without authorization

5. Subscriptions and Payment

Billing

  • Subscriptions are billed monthly or annually as selected
  • Payment is due in advance of each billing period
  • All fees are exclusive of applicable taxes unless stated otherwise

Price Changes

We reserve the right to modify our pricing. Price changes will take effect at the start of your next billing cycle after notice.

Refund Policy

We offer a 30-day money-back guarantee for new customers. Refunds are provided at our discretion for issues with our services.

6. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

7. Service Level Agreement

We strive to maintain 99.9% uptime for our services. In the event of service interruptions, our liability is limited to service credits as outlined in our SLA documentation.

8. Intellectual Property Rights

Our Rights: All content, features, and functionality of our services are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

Your Rights: You retain ownership of your data. We only access and process your data as necessary to provide our services.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information disclosed during the use of our services. This obligation survives termination of this agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for any damages arising from third-party services or your use of our services

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, or expenses arising from your use of our services or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice, for:

  • Breach of these Terms
  • Non-payment of fees
  • Abuse or misuse of our services
  • Illegal activity

14. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation or energy.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Francisco, California.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable SLA, constitute the entire agreement between you and Simply Complex Solutions regarding our services.
